Welcome to Appdate.io, operated by Served.ch LLC ("Company," "we," "our," or "us"). By accessing or using Appdate.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you may not use the Service.

1. Definitions

• Service: The Appdate.io platform, including all related software, features, and content.
• User: Any individual or entity that accesses or uses the Service.
• Customer: A business or entity that subscribes to and uses the Appdate.io platform to engage with their users.
• Customer's User: An individual who interacts with the Customer's implementation of the Appdate.io platform, such as through widgets or notifications.
• Subscription: A paid plan providing access to premium features.
• Push Leads: Data collected on user interactions with push notifications.
• Content: Any data, text, images, or other materials uploaded or transmitted via the Service.

2. Description of Service

Appdate.io is a cloud-based platform that enables businesses to integrate personalized notifications, badges, and a dynamic news feed into their websites or applications. The platform tracks user engagement, including page views, session duration, interaction with push notifications, and other relevant metrics. Our service provides businesses with powerful analytics tools to help optimize user experience and content delivery based on user behavior and preferences.

Customers can also:

• Monitor Customer's User activities such as visited pages, session length, and interactions with push notifications.
• Track and manage Customer's User preferences regarding content they are interested in.
• Access analytics to optimize content delivery and engagement.

3. Eligibility & Account Registration

• Eligibility: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are of legal age to form a binding contract with the Company.
• Account Registration: To access certain features of the Service, you may need to create an account. You agree to provide accurate and complete information during registration and to update it as needed. You are responsible for maintaining the security of your account credentials.
• Account Verification: We may require account verification to ensure compliance with these Terms. Failure to complete verification may result in restricted access to the Service.
• Account Suspension: We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or pose a security risk.
• Account Transfer: We may require account verification, and failure to complete verification may result in restricted access to the Service.

4. Subscription & Payments

• Subscription: Certain features require a paid Subscription, managed via Stripe, our payment provider.
• Payment: Fees are billed on a recurring basis unless canceled before the renewal date.
• Refunds: We do not offer refunds except as required by law.
• Non-Payment: Failure to make timely payments may result in suspension or termination of your access to the Service.
• Subscriptions are billed monthly or annually, depending on your chosen plan. Failure to make timely payments will result in service interruption until the outstanding balance is paid. Auto-renewal: your subscription will automatically renew at the end of each billing period, and you’ll receive a renewal receipt after each charge. You’ll only be notified in advance if there’s a change to your plan, pricing, or billing information.

5. User Responsibilities

• Compliance: You agree to comply with all applicable laws and regulations when using the Service.
• Content: You are responsible for the accuracy and legality of any content you provide via the Service.
• Misuse: Misuse of the Service may result in account suspension or termination.
• Data Collection: You must ensure that any data collected via the Service complies with applicable laws and regulations.
• Prohibited Content: You may not use the Service for any adult content, pornography, or similar inappropriate materials. Content of this nature is strictly prohibited and may result in immediate termination of your account.

6. Privacy & Data Usage

• We collect and process Customer's User interaction data, such as Push Leads, user preferences, and engagement metrics. All data collection is done in compliance with our Privacy Policy. By using Appdate.io, you consent to the collection and use of this data for optimizing content delivery and improving user experience. You may request access to, or deletion of, your data by contacting us directly.
• By using the Service, you consent to this data collection and usage.
• You are responsible for ensuring your use of the Service complies with applicable data protection laws, including obtaining necessary user consents where required.
• By accepting these Terms, you also accept our Privacy Policy.

7. Service Availability & Changes

• We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
• We will attempt to notify users of significant changes or downtime when feasible.
• We do not guarantee uninterrupted or error-free operation of the Service.
• We strive to ensure the Service is available 99.9% of the time, excluding scheduled maintenance periods. However, we do not guarantee uninterrupted access, and we are not responsible for service disruptions caused by external factors beyond our control, such as internet outages or third-party service failures.

8. Termination of Accounts

• We may suspend or terminate your account for violations of these Terms or any misuse of the Service.
• Upon termination, your access to the Service will be revoked, and we may delete your data.
• You may terminate your account at any time by contacting us or using account settings, but fees already paid are non-refundable.
• You may cancel your subscription at any time. If you cancel your subscription, the paid plan will remain active until the end of the current billing period, after which the subscription will be canceled. Your account and data will remain active, and you can continue to access non-paid features of the Service.
• In case of account suspension or termination, users will be notified via email with a reason for the action. Users have the right to appeal this decision by contacting us at info@appdate.io. We will review the case and notify the user of our decision within 5 business days.

9. Limitation of Liability & Disclaimers

• The Service is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, or consequential damages resulting from the use of the Service.
• We do not guarantee specific results from using the Service.

10. Early Access / Beta Disclaimer

• The Service is currently in an early-bird (beta) stage.
• Features, functionality, UI, and data handling may change at any time without notice.
• You may experience bugs, interruptions, or data alterations.
• We cannot guarantee preservation or recovery of any data you submit during this phase.

11. Intellectual Property

• All rights to the Service, including software and branding, remain with us.
• Users retain ownership of their submitted content but grant us a license to use it for providing the Service.
• You may not copy, modify, distribute, or reverse-engineer any part of the Service without explicit permission.
• Users are granted a non-exclusive, non-transferable license to use the Service for its intended purpose. You may not reverse engineer, sell, or distribute the Service or any part of it without express written permission from Appdate.io / Served.ch LLC.

12. Governing Law & Dispute Resolution

• These Terms are governed by applicable Swiss law.
• Any disputes shall be resolved through arbitration or a competent court in Basel City Switzerland.

13. Changes to Terms

• We may update these Terms periodically.
• We will notify users of significant changes, and continued use of the Service constitutes acceptance of the revised Terms.
